TERMS OF SERVICE - EcomAppify

1. AGREEMENT TO TERMS
By accessing and using EcomAppify ("Platform," "Service," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, DO NOT use our service.
These Terms apply to all users, including those who create accounts, browse the platform, or use our services in any way.
2. ELIGIBILITY
To use EcomAppify, you must:
- Be at least 18 years old (or legal age in your jurisdiction)
- Have the right to enter into a binding agreement
- Not be restricted from using the service under any laws
- Not be located in a country under trade embargo (North Korea, Iran, Syria, Crimea, etc.)
- Have a valid business or merchant account
- Provide accurate, current information
If you're using EcomAppify for your business, you represent that you have authority to enter into this agreement on behalf of your business.
3. ACCOUNT CREATION AND SECURITY
3.1 Account Registration
- You're responsible for creating a secure password
- You must provide accurate, complete information
- You cannot use false information or impersonate others
- You're responsible for maintaining account confidentiality
3.2 Your Responsibilities
- Keep your login credentials secure
- Don't share your password with anyone
- Notify us immediately of unauthorized access
- You're liable for all activity on your account
- We're not responsible for unauthorized access if due to your negligence
3.3 Account Suspension
We may suspend or terminate your account if you:
- Violate these Terms
- Provide false information
- Engage in fraudulent activity
- Breach security or create risk to others
- Have payment issues
4. ECOMAPPIFY SERVICES
4.1 What We Provide
- Mobile app builder platform (iOS and Android)
- Real-time store integration (Shopify, WordPress)
- App store submission and publishing
- Analytics dashboard
- Customer support
- Regular updates and features
- Hosting and server infrastructure
4.2 What You Get
- Create branded mobile apps without coding
- Sync products, inventory, orders in real-time
- Push notifications and customer engagement tools
- Analytics and performance tracking
- App store distribution (Apple App Store, Google Play)
- Up to [X] monthly downloads (varies by plan)
- Email and chat support
4.3 What You Don't Get
- We don't guarantee app success or sales
- We don't manage your store operations
- We don't handle customer service for your app
- We don't guarantee any specific number of downloads
- We don't provide marketing or advertising services
5. SUBSCRIPTION PLANS AND PRICING
5.1 Pricing
- Plans are listed on our website
- Prices may change with 30 days notice
- Changes apply to renewals, not current subscriptions
- All prices are in the currency displayed
5.2 Billing
- Billing is monthly or annual (depending on plan)
- Charges are billed on your renewal date
- Accepted payment methods: Credit card, PayPal, bank transfer
- Payments are processed by Stripe or other third-party processors
- You authorize us to charge your payment method
5.3 Failed Payments
- If payment fails, we'll try again (may send reminders)
- Repeated failures may result in account suspension
- You're responsible for keeping payment information current
- Late fees or collection costs may apply
5.4 No Refunds
- Subscription fees are non-refundable
- No refunds for partial months or unused service
- Plan downgrades take effect at next billing cycle
- Cancellation is effective at end of current billing period
Exception: If we fail to provide service for 30+ days, you may request a refund.
6. CANCELLATION AND TERMINATION
6.1 You Can Cancel Anytime
- Cancel through your account settings
- No cancellation fees or penalties
- Cancellation takes effect at end of current billing period
- You keep your app until subscription ends
6.2 What Happens When You Cancel
- Your app remains live until subscription ends
- After cancellation, we'll delete your app and data within 30 days
- You can export your app before cancellation
- Store integration stops syncing
6.3 We Can Terminate
We may terminate your account if you:
- Violate these Terms
- Engage in illegal activity
- Commit fraud or abuse
- Harass other users
- Violate intellectual property rights
- Create security risks
- Have consistent payment failures
We'll provide 30 days notice unless violation is severe (then immediate termination).
7. USER RESPONSIBILITIES
7.1 You Agree NOT To:
- Create apps that are illegal or violate laws
- Violate anyone's intellectual property, trademark, or copyright
- Create deceptive, misleading, or fraudulent content
- Sell counterfeit, stolen, or prohibited products
- Collect data from customers without proper consent
- Bypass security measures or hack the platform
- Scrape, spam, or overload our servers
- Create multiple accounts to evade limits
- Use the platform for malware, viruses, or malicious code
- Engage in money laundering or terrorist financing
- Harass, bully, or threaten other users
- Resell or redistribute EcomAppify without permission
7.2 Your Content Responsibility
- You're responsible for all content in your app
- You guarantee you have rights to use all content
- You're liable if content violates laws or third-party rights
- You indemnify us for content violations
- We may remove illegal or violating content
7.3 Customer Data
- You're responsible for customer data privacy and protection
- You must have proper privacy policies and consent
- You must comply with GDPR, CCPA, and local data laws
- You're responsible for data security
- We're not liable for misuse of customer data
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Intellectual Property
- EcomAppify platform, code, design, features are our property
- You may not copy, modify, or resell our platform
- You may not reverse engineer or extract our code
- You have limited license to use the platform for your store
8.2 Your Content
- You retain ownership of your app content, branding, products
- You grant us license to use your data to provide services
- You grant us license to use your data for analytics (anonymized)
- You grant us license to feature your app in case studies (optional)
8.3 Trademarks
- "EcomAppify" and our logo are our trademarks
- You may not use our trademarks without written permission
- You own your app name and branding
9. STORE INTEGRATION AND DATA
9.1 Shopify/WordPress Integration
- We access your store with your API credentials
- We sync products, inventory, orders, customers
- We don't modify data without your authorization
- You remain responsible for your store
9.2 Store Data Ownership
- You own all store data, products, customer information
- We don't own or sell your data
- We use your data only to provide EcomAppify services
- We may use anonymized data for analytics
9.3 Third-Party Responsibility
- Shopify and WordPress are third-party services
- We're not responsible for their outages or failures
- Service interruptions beyond our control aren't our liability
- You must comply with Shopify/WordPress terms
10. SERVICE AVAILABILITY AND UPTIME
10.1 Service Level
- We aim for 99.5% uptime (excludes scheduled maintenance)
- We do NOT guarantee 100% uptime
- Outages may happen for maintenance, emergencies, updates
10.2 Scheduled Maintenance
- We may perform maintenance anytime
- We'll notify you of planned maintenance when possible
- Maintenance may cause temporary unavailability
10.3 Emergency Issues
- We're not liable for unplanned outages
- We're not liable for data loss due to circumstances beyond our control
- We'll work to restore service as quickly as possible
11. WARRANTY DISCLAIMER
11.1 "AS-IS" Service
EcomAppify is provided "AS-IS" without any warranties. We make NO promises that:
- The service will meet your expectations
- The service will be uninterrupted or error-free
- All bugs will be fixed
- Your app will succeed or generate sales
- Third-party services will work correctly
- Your data won't be lost
11.2 No Guarantees
- We don't guarantee app store approval (Apple/Google make decisions)
- We don't guarantee download numbers or sales
- We don't guarantee specific performance metrics
- We don't guarantee compatibility with all devices
12. LIMITATION OF LIABILITY
12.1 We're Not Liable For:
- Lost profits, revenue, or business opportunities
- Lost data or corrupted files
- Lost customer relationships
- Damage to your reputation
- Indirect, incidental, or consequential damages
- Even if we were warned of the possibility
12.2 Maximum Liability
Our total liability to you is limited to the amount you paid us in the 12 months before the incident.
Some jurisdictions don't allow liability limits, so this may not apply to you.
12.3 You Indemnify Us
You agree to defend and indemnify us against claims arising from:
- Your use of EcomAppify
- Your app content or products
- Your violation of these Terms
- Your violation of laws
- Customer complaints or disputes
13. THIRD-PARTY SERVICES
13.1 We're Not Responsible For:
- Shopify, WordPress, or any integration partner's performance
- Apple App Store or Google Play Store decisions
- Payment processors (Stripe, PayPal, etc.)
- Analytics providers (Google Analytics, etc.)
- Any third-party service failures or outages
13.2 Third-Party Terms
- You must comply with all third-party terms
- Third parties control their own policies and practices
- Review their terms before using integrations
14. CONTENT MODERATION
14.1 We May Remove Content That:
- Violates laws
- Violates intellectual property rights
- Contains malware or viruses
- Is offensive, hateful, or harassing
- Violates these Terms
14.2 Notification
- We'll try to notify you before removal when possible
- Severe violations may result in immediate removal
- You may appeal removals
15. DISPUTE RESOLUTION
15.1 Informal Resolution
If you have a dispute:
- Contact us at support@ecomappify.com
- Describe the issue clearly
- We'll respond within 30 days
- We'll attempt to resolve the issue
15.2 Binding Arbitration
If we can't resolve the dispute:
- You agree to binding arbitration instead of court
- Arbitration is conducted by a neutral arbitrator
- Both parties present evidence
- The arbitrator's decision is binding and final
15.3 Exceptions to Arbitration
You can take legal action in court if:
- The claim is under $1,000 USD
- You're seeking injunctive relief (to stop an action)
- The claim involves intellectual property
15.4 Waiver of Class Action
You waive the right to participate in class action lawsuits. Claims must be filed individually.
16. GOVERNING LAW
- These Terms are governed by UAE law (Dubai)
- Disputes are subject to UAE jurisdiction
- For EEA/UK users, you may also use your local courts
- For US users, if arbitration isn't binding, disputes are in arbitration
17. MODIFICATIONS TO TERMS
17.1 We May Change These Terms
- We can update these Terms anytime
- Changes take effect immediately when posted
- Significant changes will be announced 30 days in advance
- Your continued use means you accept new Terms
17.2 Important Changes
If we make major changes (e.g., price increases), we'll notify you by email.
18. COMPLIANCE WITH LAWS
18.1 You Agree To:
- Follow all applicable laws and regulations
- Comply with payment processor requirements
- Comply with app store policies (Apple, Google)
- Comply with tax obligations
- Comply with GDPR, CCPA, and data protection laws
- Comply with export control laws
- Report any illegal activity
18.2 We Comply With:
- UAE laws and regulations
- GDPR (for EU users)
- CCPA (for California users)
- International data protection standards
